NDA Template Canada (Non-Disclosure Agreement)

A non-disclosure agreement (NDA) is a short contract that keeps shared information secret: one or both parties promise to use the information only for a stated purpose and not to pass it on. Canadians sign them before bringing in a contractor, pitching to an investor, hiring a first employee, or exploring a partnership. The builder below asks whether your agreement is one-way or mutual, explains the choice in plain language, and drafts the agreement for your province — in English or French. Drafting and editing are free; you only pay $1.99 CAD when you download the finished document.

One-way vs. mutual: the choice that shapes the agreement

A one-way NDA binds only the person receiving the information. You disclose; they keep it secret. This is the common pattern when a business shares its own plans with a freelancer, contractor, potential employee, or investor — only one side has something to protect.

A mutual NDA binds both sides, because both sides will exchange their own confidential information. Partnerships, joint ventures, and co-development talks usually need the mutual version. Picking the wrong one matters: a one-way agreement signed for a two-sided exchange leaves your own information unprotected, because you never promised anything — and neither did they, about yours.

The builder explains this choice in plain language on the first step, and the obligations section of the finished agreement is written to match: in a mutual agreement each party owes the duties whenever it receives information; in a one-way agreement they rest on the receiving party alone.

What the agreement covers

An NDA only protects information shared for the purpose you describe in it — evaluating a partnership, discussing a consulting engagement, reviewing a business for sale. That purpose limit is a feature, not a gap: courts are more willing to enforce agreements that protect specific information for a specific reason than blanket gag orders. In the builder you describe the purpose and what counts as confidential in your situation, for example:

  • Business and product plans, roadmaps, and launch dates.
  • Pricing, margins, supplier terms, and financial figures.
  • Customer, client, and supplier lists.
  • Unpublished designs, code, processes, and know-how.
  • Terms of a deal being negotiated.

The exceptions every Canadian NDA contains

A standard Canadian NDA never covers everything, and one that tries to is weaker for it. Information is not protected if it is already public, was already known to the receiver, is developed independently without using your information, or must be disclosed by law or court order. The builder includes these standard exceptions automatically, so the agreement reads the way a Canadian lawyer would expect it to.

Confidentiality also has a time limit. You choose how long the duty lasts — 1, 2, 3, or 5 years. Two to three years is typical for business information; reserve longer terms for genuinely durable secrets, because an unlimited or excessive term is one of the first things a court questions.

What makes an NDA hold up in Canada

Canadian courts look for a clear definition of the confidential information, a scope and duration that are reasonable for the information involved, and a real contract underneath — in the common-law provinces that includes consideration (each side giving something of value, which a mutual agreement supplies naturally). The builder sets the governing law to the province you select, so the agreement is interpreted under the law of the place the deal actually happens.

Quebec deserves one extra note: under the Charter of the French language, contracts of adhesion (take-it-or-leave-it contracts, which many employment and contractor NDAs are) must be drawn up in French first, with another language version available on request. The builder generates the full agreement in French, and Quebec users putting an NDA in front of employees or contractors should have the final version reviewed before signing.

What an NDA can't do

An NDA can't make illegal information legal to withhold: it can't stop a disclosure the law requires, can't be enforced to conceal wrongdoing, and can't rewrite the facts if the 'secret' was already public. It also isn't a substitute for judgment about who you share with — the best NDA is the one you never have to enforce. This builder creates a self-help document, not legal advice; for high-value deals, employment situations, or anything already in dispute, have a lawyer review the final agreement before anyone signs.

Frequently asked questions

Should my NDA be one-way or mutual?+

If only one side is sharing sensitive information — you hiring a contractor, pitching an investor, onboarding an employee — one-way is enough. If both sides will exchange their own plans or figures, as in partnership or joint-venture talks, choose mutual so both directions are protected.

Is a template NDA enforceable in Canada?+

An NDA is a contract, and Canadian courts do enforce them — especially when the protected information is clearly defined, the purpose is specific, and the scope and duration are reasonable. Overly broad agreements (everything is secret, forever, for any reason) are the ones that fail. This document is a self-help template, not legal advice; have a lawyer review it for high-stakes situations.

How long should confidentiality last?+

Two to three years covers most business information. Use one year for fast-moving details and reserve five years for durable trade secrets. The builder offers 1, 2, 3, or 5 years — pick the shortest term that honestly protects the information.

What can't an NDA cover?+

Information already public, already known to the other side, developed independently, or required to be disclosed by law or a court. It also can't be used to conceal illegal activity. These exceptions are standard and are built into the agreement.

Does it work in Quebec and in French?+

Yes — you can generate the full agreement in French, and choose Quebec as the governing-law province. Note that Quebec's Charter of the French language requires contracts of adhesion to be drawn up in French first; if you are asking employees or contractors to sign, having the final French version reviewed is a sensible step.

What does it cost, and how do we sign?+

Drafting and editing in the builder are completely free; downloading the finished Word or PDF costs $1.99 CAD (subscription plans are available if you generate documents regularly). Both parties then print and sign the same agreement, and each keeps a signed copy — the signature blocks are included in the document.
